Terms of Service

These Terms of Service ("Terms") are a binding agreement between Chintamanikrupa Solutions Private Limited ("Velorian," "Company," "we," "us," or "our"), and the clinic, clinic chain, or other organization that registers for or uses the Velorian clinic-management platform ("Customer," "you," or "your"). By creating an account, completing the onboarding wizard, or otherwise accessing or using Velorian (the "Service"), you agree to these Terms on behalf of yourself and, if applicable, the organization you represent. If you do not agree, do not use the Service.
1. Acceptance of terms
You must have the authority to bind your organization to these Terms to accept them on its behalf. If you are accepting on behalf of a clinic or clinic chain, you represent that you are authorized to do so and that "you" in these Terms refers to that organization as well as you personally as its representative.
2. Definitions
- "Organization" means the standalone clinic or clinic chain that subscribes to the Service, including all Branches, Authorized Users, and data associated with that account.
- "Authorized User" means any individual your Organization permits to access the Service under your account (e.g. org admins, branch admins, doctors, receptionists, accountants, nurses/assistants).
- "Customer Data" means all data your Organization or its Authorized Users submit to the Service, including Patient Data (patient demographics, medical history, vitals, diagnoses, prescriptions, visit notes, appointment records, invoices, and payment records relating to your patients).
- "Portal" means the operational web application (appointments, patient records, billing, staff management) Authorized Users use once your Organization has subscribed.
3. The service
Velorian is a practice-management and record-keeping platform for clinics and clinic chains, covering patient registration, appointment scheduling and queueing, visit records, billing and invoicing, and staff/branch management. We may add, change, or discontinue features from time to time; we'll make reasonable efforts to notify you of material changes that reduce functionality you actively rely on.
4. Accounts, staff, and access
The individual who completes onboarding becomes the Organization's Super Admin. Staff accounts are invite-only — there is no open self-service signup for staff. Your Organization is responsible for:
- maintaining the confidentiality of all account credentials and access tokens;
- all activity that occurs under your account, whether by an Authorized User or anyone else who gains access through credentials you control;
- promptly removing access (via the Portal's staff management) for anyone who should no longer have it, such as departing staff; and
- notifying us promptly at support@velorian.app of any suspected unauthorized access.
5. Plans, billing, and payment
Velorian offers a free trial plan and paid subscription plans (currently Standard and Pro), each with its own branch/staff limits and features as described on our pricing page at the time of signup. Paid plans are billed in Indian Rupees (INR) on the billing cycle stated at checkout, and payment is processed through our third-party payment processor, Razorpay.
- You authorize us (via Razorpay) to charge your chosen payment method for the plan you select, including recurring charges for the applicable billing cycle if your plan renews.
- Fees are quoted and charged exclusive of taxes unless stated otherwise; you are responsible for any applicable taxes other than taxes on our net income.
- All fees are non-refundable once a payment is successfully processed — see our Refund & Cancellation Policy for full details.
- You may cancel at any time; cancelling stops future recurring charges but does not entitle you to a refund, and your Organization keeps access through the end of the period already paid for (see our Refund & Cancellation Policy).
- If a payment fails or is not completed, we may suspend or limit access to paid features until payment is resolved.
- We do not store your card, UPI, or bank account details — those are handled directly by Razorpay under its own terms and privacy policy.
6. Free trial
The trial plan is free for the trial period stated at signup (currently 14 days) and is intended to let a single Organization evaluate the Service. We reserve the right to limit trial eligibility to one trial per Organization/email address, and to modify or discontinue the trial offer at any time.
7. Customer data and patient data
As between you and us, you own all Customer Data, including Patient Data. For Patient Data specifically:
- Your Organization is the data fiduciary/data controller for Patient Data entered into the Service — you determine what patient information is collected, why, and you are responsible for obtaining any consent, notice, or other lawful basis required under applicable law (including India's Digital Personal Data Protection Act, 2023, and any healthcare-specific regulations that apply to your practice) before entering patient information into the Service.
- Velorian acts as a data processor / service provider with respect to Patient Data — we process it only to provide, maintain, and support the Service on your instructions (as reflected in your use of the Service's features), and not for our own independent purposes.
- You represent that you have all rights, consents, and authority necessary to submit Patient Data to the Service and to permit us to process it as described in our Privacy Policy.
- We will make reasonable data-export capabilities available so you can retrieve your Customer Data, including on termination, subject to Section 13.
8. Acceptable use
You (and your Authorized Users) agree not to:
- use the Service for any unlawful purpose or in violation of any applicable law, including healthcare, data protection, or consumer-protection law;
- upload or submit data you do not have the right to submit, or that infringes a third party's rights;
- attempt to gain unauthorized access to the Service, other Organizations' data, or our infrastructure;
- probe, scan, or test the vulnerability of the Service, or bypass rate limits or other security controls;
- reverse engineer, decompile, or attempt to extract the source code of the Service, except where applicable law permits it despite this restriction;
- resell, sublicense, or provide the Service to third parties outside your Organization without our written consent; or
- use the Service to store or transmit malicious code.
We may suspend access immediately, without prior notice, where we reasonably believe continued access poses a security risk or ongoing violation of this section.
9. No medical advice; clinical responsibility
10. Intellectual property
We (and our licensors) own all right, title, and interest in the Service, including its software, design, and the "Velorian" name and logo. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription term, solely for your Organization's internal clinic operations. No other rights are granted.
11. Third-party services
The Service integrates with third-party providers, including:
- Razorpay for payment processing;
- Google Sign-In, if you choose to authenticate with a Google account; and
- email delivery providers, for transactional email (verification codes, welcome emails, appointment confirmations/reminders).
Your use of these third-party services is also subject to their own terms and privacy policies. We are not responsible for the acts, omissions, or availability of third-party services we do not control.
12. Data security
We maintain reasonable technical and organizational safeguards designed to protect Customer Data, including password hashing, signed/verified payment webhooks, and rate-limited authentication endpoints. No method of transmission or storage is 100% secure, and we cannot guarantee absolute security. See our Privacy Policy for more detail.
13. Term, suspension, and termination
These Terms apply for as long as you use the Service. You may stop using the Service, or cancel a paid plan, at any time; cancellation takes effect at the end of the then-current billing period unless stated otherwise. We may suspend or terminate access:
- for non-payment, after reasonable notice;
- for a material breach of these Terms, including the Acceptable Use section, that you do not cure within a reasonable period after notice; or
- immediately, if required to prevent harm to the Service, other customers, or as required by law.
On termination, your right to access the Service ends. We will retain Customer Data for a reasonable period following termination to allow export, after which it may be deleted or anonymized, subject to any longer retention period required by law or described in our Privacy Policy.
14. Disclaimer of warranties
Except as expressly stated in these Terms, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
15. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages. Our total aggregate liability arising out of or related to these Terms or the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited or excluded under applicable law.
16. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: (a) your or your Authorized Users' violation of these Terms; (b) your Patient Data or other Customer Data, including any failure to obtain necessary patient consent; or (c) your violation of applicable law in your use of the Service.
17. Force majeure
Neither party is liable for delay or failure to perform obligations (other than payment obligations) due to causes beyond its reasonable control, including natural disasters, internet or telecommunications failures, and acts of government.
18. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email to your account's registered address or a notice within the Portal) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
19. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to applicable law, the courts of Nanded, Maharashtra 431602, India have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

You may reach out to the Grievance Officer with any complaints regarding the Service, and we will make reasonable efforts to acknowledge and resolve them as soon as reasonably practicable.
21. General provisions
Entire agreement
These Terms, together with our Privacy Policy and any order form or plan terms presented at checkout, constitute the entire agreement between you and us regarding the Service, superseding any prior agreements on the same subject.
Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
No waiver
Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
